IMPORTANT — ACKNOWLEDGMENT BEFORE USE

By accessing the Site or placing an order, you acknowledge that you have read and accepted this policy together with our Legal Notice, Terms of Service, Privacy Policy, Shipping Policy, Return & Refund Policy, and Purchase Options Cancellation Policy. The Legal Notice contains material disclosures about how the Site uses dynamic indicators, animated counters, lifestyle imagery, expert portraits, customer reviews, and AI-assisted content. You are encouraged to review it before continuing.

These Terms of Service (the “Terms”) form a binding agreement between you and Wermom Essentials Canada Inc. (“Wermom,” “we,” “us”) and govern your access to and use of our website (the “Site”) and any products or services we make available through it. By placing an order, creating an account, or otherwise using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

1. Eligibility

To purchase from the Site, you must be at least eighteen (18) years of age and able to enter into a legally binding contract under the laws of your province or territory of residence. You may purchase products intended for use by minor children only as a parent or legal guardian acting on the child’s behalf, and you assume responsibility for safe and appropriate use of the products with that minor.

2. Your account

You may shop without creating an account, but certain features (saved addresses, subscription management, order history) require one. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us at hello@wermom.com immediately of any unauthorised use.

3. Orders & order acceptance

Placing an order constitutes an offer to purchase. We reserve the right, at our sole discretion, to:

  • Accept, decline, or limit the quantity of any order;

  • Cancel orders for suspected fraud, payment failure, pricing errors, ineligible shipping destinations, or breach of these Terms;

  • Verify your identity or payment information before fulfilment.

A binding contract of sale forms only when we issue a shipping confirmation email for the relevant items. Any earlier order confirmation email is acknowledgement of receipt only.

4. Pricing, currency, and taxes

  • All prices are in Canadian dollars (CAD) unless stated otherwise.

  • Prices exclude applicable sales tax (GST, HST, PST, QST), which is calculated and shown at checkout based on your shipping destination.

  • Prices may change without prior notice. The price binding on a given order is the price displayed at checkout confirmation.

  • In the event of a manifest pricing error (for example, an item priced at a fraction of its market value because of a system fault), we reserve the right to cancel the affected orders and refund any amount paid in full.

5. Payment

We accept payment methods listed at checkout. By providing payment information, you represent that you are authorised to use the method and that the details are accurate. We process payment via PCI-compliant providers and do not retain full card numbers on our own systems.

6. Subscriptions & recurring orders

Some products are available as recurring subscriptions (“Subscribe & Save”).

  • By starting a subscription you authorise us to charge your stored payment method on the cadence shown at checkout (e.g. every 4 or 6 weeks) until you cancel.

  • You may cancel, pause, or skip at any time per our Purchase Options Cancellation Policy. There are no cancellation fees.

  • Subscription pricing reflects a discount for the recurring commitment; that discount may change with at least thirty (30) days’ prior notice by email, and you may cancel at any time before the change takes effect.

7. Shipping & delivery

Shipping options, processing times, and delivery estimates are described in our Shipping Policy. We do our best to meet posted estimates, but delivery times are not guaranteed. Risk of loss passes to you when the carrier delivers the item to the address you provided.

8. Returns & refunds

Returns and refunds are governed by our Return & Refund Policy. Please review it before purchasing, particularly the hygiene exclusions for opened diapers, wipes, and worn items.

9. Product use & health

Wermom products are designed for everyday maternal and infant care.

  • Not medical devices. Our products are not intended to diagnose, treat, cure, or prevent any disease.

  • Educational content only. Articles, doctor profiles, and editorial content are educational. They do not replace personalised medical advice. Consult a qualified healthcare provider for questions specific to you or your child.

  • Allergen & sensitivity. Always read the ingredient list. If you or your child has known sensitivities, patch-test before broad use. Discontinue use and contact us if a reaction occurs.

  • Adult supervision. Products intended for infants must be used with adult supervision. Follow age and weight guidance on packaging.

  • No specific outcome guarantee. Statements describing typical experience or aggregate customer feedback are not representations or warranties of any specific result for any specific user.

10. Acknowledgment of marketing & site practices

By using the Site or placing an order, you expressly acknowledge that the Site uses standard contemporary e-commerce marketing practices, including but not limited to:

  • Dynamic visual indicators labelled “LIVE” (viewer counts, in-cart counts) that present statistical representations of typical activity, refreshed at fixed intervals, and not real-time tracking of identifiable visitors;

  • Animated impact and donation counters that present cumulative values with forward-projected movement between quarterly reconciliations;

  • Lifestyle imagery, expert-style portraits, and representative testimonials that may include composite, paid creative, or AI-assisted assets, where the imagery conveys aesthetic and tone rather than asserting the identity of a specific individual unless that individual is explicitly named with verifiable credentials;

  • Aggregated and edited customer-review summaries displayed alongside aggregate star ratings;

  • AI-assisted copy, design, and imagery, reviewed by a human editor before publication.

You agree that these elements are illustrative aids and not statements of real-time fact, and that your purchase decision is based on the product description, your own assessment, and the binding terms in your order confirmation — not on the visual presentation of any such illustrative element. To the maximum extent permitted by applicable law, you waive any claim arising solely from reliance on such elements where they are disclosed in our Legal Notice. Nothing in this clause limits any non-excludable consumer right under applicable Canadian or provincial law.

11. Acceptable use of the Site

You agree not to:

  • Use the Site for any unlawful purpose or in breach of these Terms or applicable law;

  • Reverse-engineer, scrape, copy, or harvest content beyond ordinary browsing;

  • Interfere with the Site’s operation, attempt to bypass security, or transmit malicious code;

  • Submit false, misleading, or impersonating information (including in reviews);

  • Use the Site to harass, defame, or invade the privacy of any person.

We may suspend or terminate access for any conduct that violates these rules.

12. User-submitted content

When you submit a review, photograph, comment, or other content (“User Content”), you grant Wermom a worldwide, royalty-free, non-exclusive, sublicensable, perpetual, and irrevocable licence to use, reproduce, adapt, edit, translate, publish, and display the User Content for purposes connected with the Wermom brand and its marketing, in any media, with attribution where reasonable. You represent that you have the right to grant this licence and that the User Content does not infringe any third-party rights or applicable law. We may edit User Content for clarity, length, and brand voice, and we may decline to publish or remove User Content at our discretion.

13. Intellectual property

The Site and its content are owned by Wermom Essentials Canada Inc. or its licensors and are protected by Canadian and international intellectual-property laws. Your access does not transfer any ownership or licence beyond those expressly granted in these Terms. See the Legal Notice for full IP terms.

14. Disclaimers

To the maximum extent permitted by applicable law, and except for express warranties stated on the Site or required by law:

  • The Site and its content are provided “as is” and “as available,” without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement;

  • We do not warrant that the Site will be uninterrupted, error-free, secure against every threat, or that any defect will be corrected on a fixed timeline;

  • We disclaim responsibility for the content, accuracy, or practices of any third-party site linked from the Site;

  • We disclaim any warranty arising solely from animated, dynamic, composite, or AI-assisted visual elements clearly disclosed as illustrative in our Legal Notice.

15. Limitation of liability

To the maximum extent permitted by applicable law:

  • Wermom Essentials Canada Inc., its directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with your use of the Site or any product purchased through it;

  • Our aggregate liability for any direct loss arising from a purchase is limited to the amount you paid for the affected order;

  • In no event will our liability include damages arising solely from a customer’s reliance on, or interpretation of, animated, dynamic, composite, or AI-assisted elements clearly disclosed as illustrative in our Legal Notice;

  • Nothing in this section limits any non-excludable statutory rights you have as a consumer.

16. Indemnification

You agree to indemnify, defend, and hold harmless Wermom Essentials Canada Inc., its directors, officers, employees, contractors, and agents from and against any third-party claim, demand, loss, or expense (including reasonable legal fees) arising from (a) your breach of these Terms; (b) your User Content; or (c) your misuse of the Site or any product. We will give you prompt notice of any such claim and reasonable cooperation in your defence at your expense.

17. Modifications to the Site & to these Terms

We may update the Site, the products offered, and these Terms from time to time. Material changes to the Terms will be reflected by an updated “Last updated” date and, where the change is significant, a notice on the Site. Continued use of the Site after a change constitutes acceptance of the revised Terms.

18. Termination

We may suspend or terminate your access to the Site, or cancel any order, where we reasonably believe you have breached these Terms or applicable law, or where required by law. Sections that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, governing law, and dispute resolution) survive termination.

19. Pre-litigation notice & individual claims

Before initiating any legal proceeding against Wermom Essentials Canada Inc., you agree to provide us with thirty (30) days’ written notice of the claim by email to legal@wermom.com so that we can attempt to resolve it in good faith. This requirement does not apply where (a) injunctive or equitable relief is required to prevent imminent harm; (b) applicable law prohibits such a notice requirement; or (c) compliance would cause a limitation period to expire. Subject to the preceding sentence, you agree to resolve any dispute on an individual basis, not as part of a class, collective, or representative proceeding, to the extent such waiver is permitted by applicable law in your province or territory of residence. Where applicable consumer-protection law preserves a right of class action (notably in Quebec), this waiver does not apply to that extent.

20. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts of Ontario have non-exclusive jurisdiction over any dispute arising from these Terms, subject to mandatory consumer-protection rules that may grant a customer the right to bring proceedings in their own province of residence. Quebec residents retain all rights under the Quebec Consumer Protection Act.

21. Force majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, public-health events, carrier failures, network outages, government action, or labour disruptions.

22. Severability & entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent. Together with our Privacy Policy, Legal Notice, Return & Refund Policy, Shipping Policy, and Purchase Options Cancellation Policy, these Terms constitute the entire agreement between you and Wermom regarding the Site.
